General Sale Terms and Conditions for sale of ELO+, spol. s r.o. products
1. General These Terms and Conditions apply to the sale of components for automation, security equipment and railways developed, manufactured and traded by ELO+ (hereinafter as the “Seller”). They do not apply to custom-made electronics.
2. Purchase Order Unless otherwise agreed, the purchase order needs to be placed in writing, for instance, by e-mail or fax. The purchase order shall contain specification of the subject of order, requested completion date and customer’s details for invoicing and delivery.
3. Delivery Terms Unless otherwise agreed, the lead time is 14 calendar days and the goods are sent by mail. The Seller shall be relieved from the contractual obligation to meet the delivery date in cases beyond his control, such as strikes, force majeure or unavoidable operating failures.
4. Lending If the customer requests the possibility to test the product in his application, the goods are lent to him free of charge for a period of 14 days. The customer can then return the goods without any sanction.
5. Price A customer who proves that the product ordered by him is designated for completing a system for another customer shall be entitled to a discount of 15% of the final product price. This shall be deemed to be proven upon the customer submitting a copy of his abstract of the Companies Register or a Trade License containing this activity. Other discounts on the final price are based on quantities purchased in the past 6 months.
6. Payment In case of the first contact with the customer, the company requires either advance payment or the goods are sent with cash to be collected on delivery. In the purchase orders to follow, the goods are invoiced with maturity of 14 days, unless the previous payments were delayed.
7. Warranty Period The standard warranty period of 24 months as of the goods shipment is applied to the products.
8. Warranty Claims and Settlement Term Insufficient quantities and apparent defects of the goods shall be claimed immediately upon the delivery takeover, hidden defects immediately upon being identified. The customer shall lodge the warranty claim with the Seller in writing, specifying the defect characteristics. The goods deviating from the declared parameters can be rejected and sent to the Seller for assessment. The customer shall pay the expenses associated with the rejected product shipment. The warranty claim should not be considered legitimate if the equipment has been operated in conflict with the terms and conditions specified in the user guide or has been mechanically damaged or the seal has been violated. The term for the warranty claim settlement by the Seller is 30 days.
9. Validity These General Sale Terms and Conditions shall become valid on 1 March 2010. |
